1. Introduction & Overview
These Partner Program Terms ("Terms") govern participation in Willo's partner programs operated by Willo, Inc. ("Willo," "we," "us"). Willo operates three distinct programs: the Regular Affiliate Program, the Super Affiliate Program, and the Ambassador Program. By applying to or participating in any program, you agree to these Terms and to the general terms in Section 3, which apply to all participants, together with the program-specific terms that apply to you.
The programs are separate. A participant may hold more than one status at the same time (for example, a Super Affiliate who is also an Ambassador). Where statuses overlap, each set of program terms applies to the corresponding benefits and obligations.
2. Definitions
- Participant — The individual or entity approved to participate in a Willo partner program.
- Referred Customer — A person or business who signs up for a paid Willo subscription through a Participant's tracked link or code and is validly attributed to that Participant.
- MRR — Recurring monthly subscription revenue actually received by Willo from a Referred Customer, excluding the items listed in Section 3.4.
- Qualifying Customer — A Participant's registered subscription customer who has reached paid status and completed their first full paid month.
- Attribution — The system by which referrals are tracked and credited to a Participant, as described in Section 3.3.
- Second-Tier / Override — A commission earned by a Super Affiliate on Referred Customers brought by affiliates that Super Affiliate has recruited.
- Activity Requirements — To retain Super Affiliate status each calendar quarter, a Participant must satisfy at least one of the following: (a) refer at least one (1) paying Referred Customer during the quarter; or (b) publish at least three (3) posts, episodes, or pieces of content on a public social media platform, podcast, newsletter, or other public channel during the quarter that meaningfully reference or promote Willo. Willo may update these requirements on reasonable notice.
3. General Terms (All Participants)
3.1 Eligibility & Enrollment
- Participants must be of legal age and legally able to enter a contract in their jurisdiction.
- Participation requires a valid Willo account and completion of the applicable application. Willo may approve or decline any application at its discretion.
- The Super Affiliate and Ambassador programs are invite-only or approval-only. The Regular Affiliate program requires approval.
- Willo employees, contractors, and their immediate affiliates may be excluded or subject to separate rules.
3.2 Commission Basis
- All commissions and overrides are calculated solely on MRR — recurring monthly subscription revenue actually received by Willo.
- Commissions exclude credit top-offs, one-time charges, overages, setup fees, taxes, discounts, and any non-subscription revenue.
- No commission is earned on trials, free accounts, or unpaid signups. Commissions begin only after a Referred Customer becomes a Qualifying Customer (reaches paid status and completes their first full paid month).
3.3 Attribution
- Referrals are tracked using Willo-issued links and/or codes and a 30-day attribution window.
- Where multiple Participants could claim the same customer, Willo's attribution records are final. Willo resolves conflicts at its reasonable discretion.
- Self-referrals, referrals to one's own accounts, and referrals to accounts a Participant controls are not eligible for commission.
3.4 Payment
- Commissions are paid monthly, subject to a minimum payout threshold of $50.
- Payments are made via PayPal, Wise, or Zelle in USD. Any transaction or transfer fees are borne by / deducted from the Participant.
- Participants are responsible for providing accurate payment and tax information. Willo may withhold payment until valid information is provided.
3.5 Refunds, Chargebacks & Clawbacks
Commissions tied to revenue that is later refunded, reversed, charged back, or found to be fraudulent will be reversed or deducted from future payouts.
3.6 Taxes
Participants are solely responsible for all taxes on amounts they earn. Willo may require a completed W-9, W-8, or equivalent tax form before payment and may issue tax documents as required by law.
3.7 Disclosure & Advertising Standards (FTC)
- Participants must clearly and conspicuously disclose their paid or incentivized relationship with Willo in all promotion, in accordance with FTC guidelines and applicable law (for example, "affiliate link," "sponsored," or "Willo Ambassador").
- Participants must not make false, misleading, or unsubstantiated claims about Willo or its products.
3.8 Prohibited Conduct
- Spam, unsolicited bulk messaging, or deceptive marketing.
- Bidding on Willo trademarks or brand terms in paid search, or impersonating Willo, without written permission.
- Cookie stuffing, forced clicks, misleading redirects, or any manipulation of Attribution.
- Promotion on sites or channels containing unlawful, infringing, or objectionable content.
- Any conduct that violates law or these Terms.
3.9 Trademarks & Brand Use
Willo grants Participants a limited, non-exclusive, revocable license to use approved Willo names, logos, and materials solely to promote Willo and only in accordance with Willo's brand guidelines. All goodwill inures to Willo. This license ends when participation ends.
3.10 Program Structure & No Recruitment Payments
All earnings are tied to actual paying customers. Willo pays no fee for recruitment itself — there is no payment for signing up affiliates, no pay-to-join, and no earnings based on the size of a downline. Every commission and override traces to real, recurring customer revenue.
3.11 Changes, Suspension & Termination
- Willo may modify these Terms, program rates, or program features at any time, effective on posting or other reasonable notice.
- Either party may end participation at any time. Willo may suspend or terminate a Participant for violation of these Terms, fraud, or conduct harmful to Willo, its customers, or its brand.
- Treatment of earnings on termination is described in the program-specific sections and, for termination for cause, may include forfeiture of unpaid amounts.
3.12 Disclaimers & Legal
- The programs are provided "as is." To the maximum extent permitted by law, Willo disclaims warranties and limits liability as set out in the Willo Terms of Service.
- Participants are independent contractors. These Terms do not create any employment, partnership, agency, or joint-venture relationship.
- These Terms are governed by the laws of Oregon, and disputes are resolved under Clackamas County.
- To the fullest extent permitted by law, each party waives any right to a trial by jury; any dispute that reaches court will be decided by a judge (bench trial).
4. Regular Affiliate Program
In addition to the General Terms, the following apply to Regular Affiliates:
- Regular Affiliates earn commission at Willo's then-current standard affiliate rate on their own direct Referred Customers. The current rate and duration are published in the standard affiliate program and may be updated by Willo; they are not fixed by these Terms.
- Commission duration is governed by the standard affiliate program terms. Regular Affiliates do not receive lifetime status.
- Regular Affiliates have no second-tier or override rights and do not earn on customers referred by other affiliates.
- Regular Affiliates do not receive Ambassador benefits (such as free product) unless separately approved as an Ambassador.
5. Super Affiliate Program
The Super Affiliate Program is a curated, invite-only or approval-only program. In addition to the General Terms, the following apply to Super Affiliates:
- Elevated direct rate. Super Affiliates earn an elevated commission rate on their own direct Referred Customers, as published by Willo.
- Network override. Super Affiliates earn a second-tier override on Referred Customers brought by affiliates they recruit, as published by Willo.
- Lifetime while active. Super Affiliate commissions continue for the life of each Referred Customer while the Super Affiliate maintains active status by meeting the Activity Requirements (defined in Section 2). Duration is not unconditional — it is contingent on satisfying at least one qualifying activity per calendar quarter: (a) one paying referral, or (b) three public posts/content pieces referencing Willo.
- Reversion. If a Super Affiliate does not meet the Activity Requirements for a given quarter, Willo will provide written notice. The Super Affiliate will have a 30-day cure window to satisfy the requirements retroactively. If not cured within that window, Super Affiliate status and the associated elevated economics will revert to the standard affiliate rate until requirements are met again in a subsequent quarter.
- Quality standards. Super Affiliates are subject to quality and brand standards. Willo may review performance and may downgrade a Super Affiliate for sustained quality issues, at Willo's reasonable discretion and after notice and a reasonable opportunity to correct.
- Combined status. A Super Affiliate may also hold a Regular Affiliate link and/or Ambassador status. Each status is governed by its own program terms; the statuses stack but do not modify one another.
6. Ambassador Program
The Ambassador Program is a separate, limited, approval-only program. It rewards Participants primarily with product access and recognition rather than commission. In addition to the General Terms, the following apply to Ambassadors:
- Separate track. Ambassador status by itself does not pay commission. It is distinct from the Affiliate and Super Affiliate programs.
- Benefits. While actively an Ambassador and in good standing, the Ambassador receives complimentary access to Willo's Scale tier for their own use, plus recognition, badge, and community benefits as offered by Willo.
- Limited slots. Ambassador slots are limited. Admission is by approval only.
Ambassador Requirements
- Display an approved "Powered by Willo" badge or notice on their website, linking to a Willo-provided tracked URL, for the duration of their participation.
- Maintain the minimum promotion cadence set by Willo (for example, 2 posts or mentions per month across social channels or email).
- Actively use Willo to operate their own site or business.
- Clearly disclose their Ambassador relationship in promotional content, per Section 3.7.
- Represent Willo consistent with its brand and conduct standards.
Maintenance & Removal
Benefits continue only while the Ambassador remains active and meets the requirements. If requirements lapse, Willo may end complimentary access after a reasonable grace period. Willo may remove an Ambassador for brand, conduct, or eligibility reasons.
Tax Note
The value of complimentary product access may be treated as taxable in some jurisdictions; Ambassadors are responsible for any resulting tax obligations.
Combined Status
An Ambassador may separately hold an Affiliate or Super Affiliate link and earn commission under that program's terms. Ambassador status and affiliate earnings are independent.
